Mediware Acquires Fazzi Associates

Today, July 12, Lenexa, Kansas-based Mediware Information Systems announced that it has acquired Northampton, Massachusetts-based Fazzi Associates. The official news release can be found here. Fazzi will become part of an organization that includes Kinnser, ADLWare, PPS Plus, Fastrack, Healthcare Automation, Hann's-On Software, Advantage Reimbursement, CareCentric/MestaMed, and MedTranDirect. To the best of our knowledge, this marks the first time a software company has acquired a consultant group. We spoke with Mediware CEO Bill Miller and Fazzi President Tim Ashe to get the story behind the story of this most unusual acquisition.

Miller arrived at Mediware about a year ago, after the Kinnser acquisition. He told us talks with Bob Fazzi and Tim Ashe began only earlier this year. Ashe added that he and founding partner Bob Fazzi had been talking for two years about searching for the right partner but did not feel the time was right until now.

"Fazzi's coding expertise is a natural extension of our business," Miller said. "After arriving here last year and spending time with Mediware clients, I came to see that they are constantly struggling, especially smaller ones, with payment models, regulations, utilization and staffing. When you marry EMRs with a thought leader like Fazzi, your clients gain access to outsource coding services, ways to get paid more easily, to be more compliant and efficient. It is a good match."

Miller added that the size of Mediware's customer base will fuel growth for Fazzi and Mediware clients will benefit from Fazzi services. Fazzi will gain access to Mediware's deep resources, including capital, engineering and software developers. "I love having consulting expertise in our portfolio; it will make our products better, Miller concluded."

Mediware, of course, gains access to more than consulting expertise. Fazzi Associates' portfolio includes OASIS training, outsource coding services, a Learning Management System that includes a catalog of online courses, and a stable of the industry's most respected clinical and operational consultants. The organization is best know for its "State of the Industry" research projects. These highly anticipated and oft-quoted reports will continue. Ashe told us the fifth study in this series will be getting underway soon.

What about Bob?
In Tim Ashe's opinion, founder Robert Fazzi, PhD will never retire. To him, helping patients by helping the Healthcare at Home industry (a term he coined) is not a job but his favorite way to spend his time. He will take on some sort of an Emeritus title, which had already been the plan since he named Ashe as company president two years ago, but he will continue to write and to accept speaking invitations at state and national conferences.

As for the rest of Fazzi's 150 employees, Ashe assured me that nothing will change. Operations will continue to be centered in Northampton, he himself will continue as president, and no one will be leaving. In fact, it is more likely Mediware will be adding staff to the Fazzi team. "We will continue to build the Fazzi brand and maintain the Fazzi culture of commitment to home health patients," Ashe told us.

Answering a question they are both certain will surface, both Miller and Ashe discussed the possibility of expanded Fazzi's role into Home Medical Equipment and Home IV Therapy, business lines brought under the Mediware umbrella with several of its early acquisitions. Both said the Fazzi team will concentrate on its strengths, home health and hospice, for the near future. But they are not ruling out a future expansion into other business lines.

"We want Fazzi to be independent as we look for ways to work together," Miller said. "They provide leadership to a lot of agencies. We think we can apply Fazzi's expertise to all of our clients eventually. For now, the focus will be on supporting our clients and theirs with information sharing to help with care coordination and education. We will continue to invest in Fazzi's expertise. We have the capacity to add people and finances so they can extend their level of service."

Miller and Ashe, with Bob Fazzi, spent the early days of this week delivering the news to staff and to key clients. The announcement was dated today but the deal was official last week.
